Item 1.01 Entry into a Material Definitive Agreement.
Underwriting Agreement
On September 25, 2019, Plymouth Industrial REIT, Inc. (the “Company”) and Plymouth Industrial OP, LP, the Company’s operating partnership (the “Operating Partnership”), entered into an Underwriting Agreement (the “Underwriting Agreement”) with Barclays Capital Inc., KeyBanc Capital Markets Inc., and J.P. Morgan Securities LLC as representatives (the “Representatives”) of the several underwriters named therein (the “Underwriters”), for the sale of 3,000,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), at a public offering price of $18.00 per share. Pursuant to the terms of the Underwriting Agreement, the Company granted the Underwriters a 30-day option to purchase up to an additional 450,000 shares of Common Stock at the public offering price of $18.00 per share. The Company estimates that the net proceeds from the offering, after deducting underwriting discounts and commissions and estimated offering expenses paid or payable by the Company, will be approximately $51.1 million (or approximately $58.8 million if the Underwriters’ option to purchase additional shares is exercised in full).
The offering was made pursuant to a registration statement on Form S-3 filed with the Securities and Exchange Commission (the “SEC”) on July 30, 2018 (File No. 333-226438), which was declared effective by the SEC on August 10, 2018, and a prospectus supplement, dated September 25, 2019, filed with the SEC pursuant to Rule 424(b) under the Securities Act of 1933, as amended (the “Securities Act”).
The Company and the Operating Partnership made certain customary representations, warranties and covenants concerning the Company, the Operating Partnership and the registration statement in the Underwriting Agreement and also agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the Underwriters may be required to make in respect of those liabilities. The offering is expected to close on September 30, 2019 subject to certain customary closing conditions.
